Public offer for the performance of work

The terms on which development work is carried out. A draft: the text is awaiting review by a lawyer.

1. General

This document is an offer by [Aleksey Levshinskii, status: self-employed under the Russian professional income tax regime, tax ID [ИНН]] (the Contractor) to enter into a contract for software development work on the terms below.

The contract is considered concluded once the parties have agreed the specification and the schedule and the Client has made the first payment.

2. Subject

The Contractor carries out software development work — a website, a web application, a system or parts of them — to the extent set out in the specification, and the Client accepts and pays for the result.

The specification and the schedule are set out in appendices and form an integral part of the contract.

3. Deadlines and stages

Work is carried out in stages. Each stage ends in a result that can be checked in use.

The deadline for a stage is extended by any delay caused by the Client not providing materials, access or decisions needed for the work to continue.

4. Price and payment

The price of each stage is set before it begins and fixed in the schedule. The Contractor is not a VAT payer.

Payment is made in the manner agreed by the parties for the particular stage. After each payment the Contractor provides the Client with a receipt issued through the official tax application.

5. Delivery and acceptance

On completing a stage the Contractor hands the result to the Client. Within [N] working days the Client either accepts the work or sends reasoned comments.

If no comments are sent within that period, the stage is considered accepted.

6. Rights to the result

Exclusive rights to the code and accompanying materials created under the contract pass to the Client in full once the relevant stage is paid for.

The Contractor retains the right to use general technical solutions and know-how in other projects, and to mention the fact of the work in a portfolio — to an extent that does not disclose the Client’s confidential information.

7. The Client’s obligations

The Client provides the materials, access and decisions needed for the work in good time, and appoints one person authorised to make decisions on the project.

8. Warranty

For [two weeks] after a stage is delivered, the Contractor fixes free of charge any defects that are a departure of the result from the specification.

Changes that go beyond the specification are estimated separately.

9. Confidentiality

The parties do not disclose information obtained during the work to third parties. At the Client’s request a separate confidentiality agreement is signed.

10. Liability

The liability of the parties is limited to the amount paid for the stage, unless the law provides otherwise.

11. Termination

Either party may withdraw from the contract by giving written notice to the other. The Client pays for the work actually performed, and the Contractor hands over everything created up to the moment of termination.
